Upon the occurrence of the Final Deadlock, then either of Shareholders, may, within forty five (45) Business Days from the Final Deadlock, issue a notice ("Roulette Notice") to the other Shareholder. The Roulette Notice shall be deemed to constitute:
an offer by the First Shareholder to purchase all (but not some only) of the Second Shareholder's Shares at the Deadlock Price; and
an alternate offer by the First Shareholder to Transfer to the Second Shareholder all of the First Shareholders’ Shares at the Deadlock Price. Заранее спасибо
