susan79, have you ever heard about "interested party transactions"? it's a term of art. "сделки с заинтересованостью" in russian. nothing to do with being in favor, but rather "having a vested interest in..." ( = and therefore being biased, i.e. not being impartial). directors having an interest must "declare their interest". shareholders having an interest are barred from taking part in a vote.

translation:"should...(they)... have an interest in...",
