Supplier’s liability in any cause of action arising under, out of, or in relation to this agreement, its negotiation, performance, breach or termination (collectively, “Cause of Action”) shall be limited to direct damages. This is so whether the Cause(s) of Action are in contract, under statute, in tort, including, without limitation, negligence, or otherwise. The limitations on liability set forth in this agreement are fundamental inducements to Supplier entering into this agreement. They apply fundamentally and in all respects.
