Exit Bonus on disposal of shares in the Company by either all shareholders or by The Great Circle Fund only: The Company agrees to provide the Executive with an Exit Bonus (the “Exit Bonus”) on the disposal by The Great Circle Fund of its shares in the Company (the “Exit”). The Exit Bonus will be calculated by reference to the equity valuation of the Company either actual or implied derived from the consideration paid (either by a cash sale or share swap) for ordinary shares of the Company at the Exit. The method of calculation of the Exit Bonus is described in Appendix 3 hereto. The Exit Bonus shall be paid within ten (10) days of the date of the Exit.
