(a) Each year during the term of this Agreement, Reseller will sell NEXENTA licenses of at least the minimum annual commitment set forth in Exhibit A. Orders shall be due and payable within thirty (30) days of the date NEXENTA accepts the order unless otherwise agreed to in writing.

(b) NEXENTA reserves the sole right to change the Pricing for any Software. NEXENTA will provide Reseller with reasonable notice of any such change.

(c) Payments due hereunder will be made by such manner as NEXENTA shall reasonably direct. All License Fees are exclusive of shipping, taxes, duties and the like, which shall be paid by customer. All late payments shall be assessed a service charge of 1.5% per month to the extent allowed by law. For international shipments, outside the United States or Canada, Reseller will be responsible in advance for all applicable shipping charges, taxes, customs charges, duties, brokerage fees or common carrier charges
