Subject: Agreement 5 - опять споткнулась A. shall indemnify and hold B. harmless from any and all losses, damages, claims, complaints, judgments, and expenses (including reasonable outside attorneys fees) arising out of claims or complaints made by a third party against B. arising out of A’s negligent or wrongful performance of its obligations hereunder or the breach of its obligations hereunder, provided that notice and an opportunity to defend are given to А. This indemnification clause shall survive the term of this Agreement.Как я поняла, А. должен возместить Б. (оградить Б.) от всяких потерь, убытков, судебных дел (включая обоснованные адвокатские гонорары), возникающих в результате жалоб, исковых заявлений от третьих лиц в сторону Б, появляющихся вследствие неисполнения или ненадлежащего исполнения А. своих обязательств по настоящему Соглашению, при условии, что А был уведомлен об этом и ему была дана возможность себя защитить. Этот пункт имеет силу и после окончания срока действия настоящего Соглашения. Может, как-то откорректируете?
