Договор с агентом по продаже

Уважаемые коллеги!
большая просьба помочь разобраться с предложением из договора на брокерские услуги по продаже судна.
фраза: The sale, donation, trade or exchange of a majority of the stock, or equitable interest of a corporate or limited partnership holding title to vessel by Owner shall be construed as a sale for the purposes hereof.

свой вариант даже не могу предложить к сожалению, потому что не понимаю смысла ((
контекст: Upon the sale, donation, trade, charter or exchange of the vessel, or if it is otherwise transferred or conveyed during the term of this Agreement by the Owner, or anyone acting on behalf of the Owner, the Owner agrees to pay Broker a fee based on MYBA terms, which is:
a. ХХ percent (ХХ%) of the gross sale price for the first sum
b. XX percent (XX%) from xx sum up to xy sum
Any sublisting broker involved in the sale shall receive his fee from Broker. The sale, donation,
trade or exchange of a majority of the stock, or equitable interest of a corporate or limited
partnership holding title to vessel by Owner shall be construed as a sale for the purposes hereof.
In the event of a total loss of Vessel, Company name will receive 3%of the
insurance proceeds to compensate for advertising and promotional expenses.

Продажа (и т.д.) Владельцем большинства акций или долей участия юридического лица, являющегося обладателем права собственности на судно, считается продажей для целей (в рамках) настоящего соглашения.

все перечисленные действия обзывают продажей (вводят термин для удобства) - вот и все )) Агент получает комиссионные в любом случае - если судно продадут, обменяют, подарят и т.п.

В данном случае Owner без всяких колебаний и сомнений должен переводиться как "Судовладелец".

Таков узус.

Хотя в данном случае я неправ. Ведь речь об акциях юрлица.
Была бы речь о долях судна, было бы иначе.

53. (1) For the purposes of registration, the property in a vessel is divided into 64 shares.
(2) Subject to subsections (3) and (4), only owners or joint owners of a vessel or of one or more shares in a vessel may be registered in the Register as owners of the vessel or shares, as the case may be.
(3) In the case of a vessel described in paragraph 47(c) (a vessel subject to a financing agreement), the persons referred to in that paragraph are to be registered in the Register as the owners of the vessel.
(4) In the case of a vessel described in section 48 (a bare-boat chartered vessel), no person may be registered in the Register as an owner of the vessel.
(5) No more than five persons may be registered in the Register as joint owners of a vessel or a share in a vessel.
(6) A registered jointly owned interest in a vessel or a share in a vessel may be disposed of only by the joint owners acting together.
(7) No person may be registered as the owner of a fractional part of a share in a vessel.
(8) This section does not affect the beneficial interests of a person represented by or claiming through an owner of a vessel or a share in a vessel.
(9) No notice of a trust may be entered in the Register.

а можно еще один вопрос по этому же договору? буду очень признательна за помощь:
этот договор называется Central Listing Agreement
первая фраза из него:
it is agreed that is the company XXX is hereby granted an exclusive right to sell and therefore authorized to manage the sale of the vessel named ( Flag) on a multiple listing basis.
трудности возникли с переводом фразы authorized to manage the sale в связке с right to sell.
и multiple listing basis - то ли это рекламирование судна в реестре, то ли продажа с вовлечением других агентов.... (( по контексту непонятно

listing - это "заявка на продажу".

Любопытно, о каком реестре вы говорите?

а еще multiple listing - это продажа недвижимости через посредничество нескольких брокеров
