Контекст: In the event any duty, sales, use or other tax is assessed on the assignment of the Interest, Assignee covenants and agrees to pay an amount equal to the assessed tax, and related penalties and interest, to Assignor within 10 (ten) days of the notice from Assignor, and Assignor shall apply such amount to payment of the tax provided it fully indemnifies Assignor therefore.
