Does anyone know what a spin-off agreement is called in Russian?

Context: a company spun a unit off and made it a separate company.

if it's a spin-off, how can it be an agreement? the decision would be made by the owner, while an agrt presupposes 2 parties at least

у нас тоже есть механизм создания дочерних обществ вследствие заключения договора:

2. Общество признается дочерним, если другое (основное) хозяйственное общество или товарищество в силу преобладающего участия в его уставном капитале, либо в соответствии с заключенным между ними договором, либо иным образом имеет возможность определять решения, принимаемые таким обществом.

Susan79, there doesn't seem to be one uniform agreement. The translation would depend on what is said in the German Transformation Act (Umwandlungsgesetz) regarding this spin-off.
