Please, could you help me with is phrase from a contract, to be more exact, with the word "against"

: All damages recovered from third parties shall be the exclusive property of the Licensor provided that the Licensee shall be entitled to set off any expenses which it is able to claim from the Licensor under this Clause 6

: against damages recovered by itself.

Set off Х against У -взять Х в зачет к У (нехай они клевещут, что английский язык короче русского:)). Значит: Все суммы возмещений по ущербу, получаемые от третьих сторон, будут принадлежать исключительно Лицензиару при условии, что Лицензиат будет иметь право брать в зачет к суммам возмещений по ущербу, получаемым им самим, все свои расходы, подлежащие оплате Лицензиаром.
