non-circumvention agreement law

Добрый день всем,

Возникла проблема с пониманием выделенной части текста. Это раздел non-circumvention agreement; исходя из остального текста соглашения, сторона C, предоставляющая Конфиденциальную Информацию, налагает на Сторону-получателя ряд обязательств, но, если мы с нашим юристом правильно понимаем выделенный абзац, в том, что касается accuracy or completeness or absence of infringement of the Confidential Information, сама на себя берет обязательства только в рамках, определенных в Definitive Documentation (каковая документация, кстати, нигде не определяется). Пожалуйста, подтвердите или опровергните нашу догадку.

4. No Representations / No Obligation Without Definitive Documentation

H acknowledges and agrees that, except as may be expressly set forth in a legally binding agreement with C, neither C nor any of its Representatives shall be deemed to accept responsibility for or to have made any oral or written representation or warranty, express or implied, with respect to the accuracy or completeness or absence of infringement of the Confidential Information supplied "AS IS" pursuant to this Agreement or otherwise and such persons are not obliged to update the Confidential Information or correct any inaccuracies contained therein. Neither C nor any of its Representatives shall have any liability to H and/or its Representatives relating to or resulting from the use of the Confidential Information.

Unless and until a definitive agreement between C and H regarding a possible interest in the Project has been executed, neither C nor H will be under any legal obligation of any kind whatsoever with respect to such a transaction by virtue of this Agreement. In particular, no license under any patents, copyrights, mask rights or other proprietary rights is granted or conveyed by C’s contemplated transmittal of Confidential Information or other information under this Agreement. Confidential Information provided to H does not and is not intended to represent an inducement by C to enter into any business relationship with H or with any other entity. If the Parties desire to pursue business opportunities, the Parties will execute a separate written agreement or contract to govern such business relationship. The Parties acknowledge and confirm that neither the provision of any information nor any discussions constitute an offer by either Party.
