3. Omnibus authorisation

any Authorised Officer be, and hereby is, authorised, directed and empowered in the name and on behalf of the Company (such Authorised Officer hereby being given the absolute power to delegate any part or all of the authorisation herein contained to any designee or designees as he may appoint from time to time) to do and perform, or cause to be done or performed, any and all such acts, deeds and things and to make, execute and deliver, or cause to be made, executed and delivered, any and all such agreements, undertakings, documents, instruments or certificates in the name and on behalf of the Company or otherwise as the Authorised Officer (or his designee or designees) may deem necessary, appropriate, advisable or desirable in order to carry out fully the purpose and intent of the foregoing resolutions or any of them, and any such action or execution by the Authorised Officer (or his designee or designees) shall be conclusive evidence of the approval and acceptance thereof by the Company.
