Subject: Free-Up Notice (d) If, on the date set forth for the completion of the Offered Shares, either(i) the Remaining Shareholders do not accept the Offer in respect of all of the Offered Shares under Clause 3.2(b); or (ii) notwithstanding such agreements the Selling Shareholder does not receive payment for the Offered Shares which have been so accepted on or prior to the specified completion date; then the Selling Shareholder shall not be required to sell any such Offered Shares to the Remaining Shareholders and shall give Notice of that fact to the Remaining Shareholders (the “Free-Up Notice”). (e) The Selling Shareholder may, at any time within sixty (60) days after the date of the Free-Up Notice, and subject to compliance with Clause 3.3, sell the Offered Shares to any Third Party at a price greater than or equal to one hundred percent (100%) of the Offered Price (which shall be pro rated as appropriate) and on other terms that are in the aggregate not more favourable than as set forth in the Transfer Notice.
