Subject: to appoint substitutes or delegates Всем доброе утро!Подскажите, пожалуйста, как лучше перевести лиц, которых назанчают. Перевожу устав Брит. Вирг. Островов пункт OFFICERS AND AGENTS, и вот что-то сомневаюсь называть их заместителями, мне кажется м/у ними есть какая-то разница.

The directors may, by resolution of directors, appoint any person, including a person who is a director, to be an agent of the company. an agent of the company shall have such powers and authority of directors, including the power and authority to affix the seal, as are set forth in the articles ot in the resolution of directors appointing the agent, except that no agent has any power or authority to the matters specified in sub-regulation 12. The resolution of directors appointing an agent may authorise the agent to appoint one or more SUBSTITUTES OR DELEGATES to exercise some or all of the powers conferred on the agent by the company.
