Subject: Предложение из Соглашения о Конфиденциальности Добрый день! Меня интересует перевод следующего предложения из Соглашения о Конфиденциальности: "is in, or has, after disclosure to or acquisition by either Party, entered the public domain other than by reason of a breach of the undertakings contained within this Agreement or a breach by any other person of any obligation of confidentiality owed by it". Контекст см. ниже: Exceptions Neither Party will be under any obligation to keep confidential any Confidential Information that it is able to demonstrate: (a) was known to that Party at the time of its disclosure by the other Party and was not acquired in any way directly or indirectly from the disclosing Party or any of the disclosing Party’s customers, professional advisers, directors, officers, consultants or employees, including any of the said persons of either Party or of any Group Companies and provided that such information is not known to be subject to any other duty of confidentiality whether owed to either of the Parties hereto or to any other person; or (b) is in, or has, after disclosure to or acquisition by either Party, entered the public domain other than by reason of a breach of the undertakings contained within this Agreement or a breach by any other person of any obligation of confidentiality owed by it. In addition, this Agreement shall not be construed to prohibit the disclosure of the Confidential Information by the receiving Party and/or its employees, agents or professional advisers if the disclosure is required pursuant to any applicable law or regulation or pursuant to any subpoena, order, civil investigative demand or similar demand or request of any court or regulatory authority, provided that such receiving Party shall give the other Party prior notice of the information to be disclosed to the extent that such notice is permissible and practicable under the circumstances and, upon request of such other Party will seek to obtain confidential treatment of such information by the persons to whom it is disclosed.
