не могли бы Вы , пожалста, проверить, правильно ли я перевела фразу - "в одностороннем внесудебном порядке" :

«ХХХХ» имеет право в одностороннем внесудебном порядке отказаться от исполнения настоящего Соглашения в случае невыполнения «УУУУ» плана поставок в соответствии с Приложением № 1 к настоящему Соглашению в течение 2 лет подряд

я так перевела:
ХХХХ shall have the right to withdraw from this Agreement in a unilateral manner and in accordance with extrajudicial procedures in case УУУУ fails to fulfill the plan of deliveries pursuant to Annex № 1 to the present Agreement during two years in succession.

ХХХХ shall have the right to unilaterally withdraw from this Agreement on the basis of out-of-court settlement in case УУУУ fails/should УУУУ fail to meet the delivery schedule as set out in Annex No 1 to this Agreement during the two consecutive years.
