This Reseller Agreement (the "Agreement") is entered into effective as of the ___ day of _________________, 20___ (the “Effective Date”) by and between TELLIGENT SYSTEMS, INC, a Texas Corporation, with a principal office at 17950 Preston Road, Suite 310
Dallas, Texas 75252 (“TELLIGENT”) and a reseller, _______________________________________, with a principal office at: ________________________________________________________________________________________________, (the “RESELLER”).

In consideration of the mutual promises, covenants and obligations contained herein, the parties agree as follows:

1. DEFINITIONS: For purposes of this Agreement, the following terms will have the meanings indicated below:

RESELLER(s) means the individual, collective group or company appointed as the authorized reseller and identified in the preamble.
End User(s) means a third party who obtains or licenses a Product from TELLIGENT, whether or not through RESELLER.
Product(s) means the most current version of software applications, products, applications, products, support services and professional services listed on Exhibit A attached hereto and made a part hereof for all purposes.
Market(s) means the geographic area, vertical market or End Users identified in Exhibit A attached hereto and made a part hereof for all purposes.
Competitor(s) means the business entities identified in Exhibit A attached hereto and made a part hereof for all purposes.
Commission(s) means the financial obligations and payment terms listed for each Product in Exhibit A attached hereto and made a part hereof for all purposes.
Pricing means the current Product pricing schedule as provided by TELLIGENT to RESELLER, as may be amended from time to time without prior notice from TELLIGENT.
