Уважаемые переводчики!
помогите непереводчику, но, тому кто вынужден разбирать кусчоки Letter of Intent и Confidentiality Agreement в одном флаконе. Автор этого творения английский неюрист.

3.1.1. No later than in three (3) months after this Agreement signing date to offer the Shareholders separate purchase prices for Blocks of Shares in the amounts of 67%, 76% and 99.5% of the total issued amount of Shares, based on the Business Valuation performed by Party 1 by its own forces and at its own expense. Such offer shall be made on the basis it is subject to the Parties agreeing other terms of the Proposed Transaction in a mutually acceptable acquisition agreement which will be governed by English law and prepared in English and Russian with the English version prevailing in the event of ant conflict between the versions.
3.1.2. In the event when an agreement with the Shareholders regarding the price and other terms of the Proposed Transaction in a mutually acceptable acquisition agreement shall be reached, no later than ____________ to offer to sign Letters of Intent with the Shareholders, proposing to purchase their respectively owned Shares on the terms agreed in respective Letters of Intent.

не могу понять, как здесь соединяется on the basis и it is subject to....

так что помогите, пожалуйста!

по моему скромному разумению, тут следует читать Such offer shall be made on the basis that it is subject to... это не то чтобы ошибка, а так... скорее небрежность. Как говорим, так и пишем. Скажем прямо: корявости не поубавилось, зато хоть смысл проявился.... т.е. оффер будет сделан, но с этой вот оговоркой/условием

Do you mean that it is the basis itself that is subject to agreement between the parties?... Frankly, it doesn't make much sense to me (like many things in life!)))...

But surely, it is the OFFER that is being subjected to smth, not the BASIS on which the offer is made. No?

Я не вижу ошибки. Это предложение делается на том условии (извинате за повтор!), что стороны должны согласовать условия

исходя из того, что стороны...
