в случае принятия такого решения?

+ если переводить at a premium как "по цене выше номинала", можно ли здесь - any premium paid on the issue of the shares - заменить это словосочетание на "премию"?

P.S. for the purposes such ten percent restriction - тоже странноватая конструкция)
