Net 10 Days

In the absence of a contrary definition in a contract or an industry specific meaning being applied to “Net 10 Days,” when “Net 10 Days” appears on an invoice, it usually means that the supplier expects payment within 10 days of some triggering event. The triggering event often falls into one of three categories which are:

1. Delivery of the products or services
2. Acceptance of the products or services
3. Receipt of invoice

Usually, the triggering event is specified in the document.

Nuances

Sometimes a different number of days is specified. Often one will see “Net 15 Days,” “Net 30 Days,” “Net 45 Days,” or “Net 60 Days.”

At times, the invoice may specify ”Net 10 Business Days.” In this situation, holidays and weekends would not count towards the 10 days. Some states have different holidays than others so, even within the US, there can be questions about what constitutes a “business day.” In addition, some firms close for “company” holidays so this too can raise questions. Clarity is important. When negotiating a contract, if this makes a difference, ask questions and have the term defined in the contract.
