Should it be impossible to reach a respective agreement with the banks and/or the financial institutions, the Buyer undertakes to indemnify the Seller and to hold it harmless against any claim by the banks and/or the financial institutions under the guarantees and/or securities given by the Seller for such financing to the extent of X% of the amount(s) of such guarantees and/or other security (respectively to the extent of N % of the amount(s) of such guarantees and/or other security, if at the relevant time the Seller has already transferred Y % of its equity capital in [NAME] to [COMPANY]).
