Subject: Vend-in Agreement law Всем привет!
Помогите пожалуйста подобрать подходящий аналог на русском языке для этого соглашения. Контекст (преамбула):A. terms denoted with initial capital letters and not otherwise defined herein have the meanings assigned to them in Section 1.1;
B. pursuant to the Preliminary Agreement, AAA, BBB, CCC, DDD and EEE agreed, among other things, that AAA would acquire a 100% participating interest in GGG and a 100% participating interest in HHH in consideration for the issuance of AAA Shares to the vendors of such participating interests;
C. in order to more effectively facilitate AAA’s acquisition of the CCC's Interest in GGG and of all other direct and indirect interests and investments in GGG and the Masmuh Project by Fulaan and its Affiliates, Fulaan has taken an assignment of CCC’s interest in the Preliminary Agreement and intends to indirectly vend the CCC's Interest in GGG into AAA by transferring the CCC Shares to AAA;
D. the parties are entering into this Agreement to give effect to the acquisition by AAA of the CCC Shares, the BBB's Interest in GGG, the DDD's Interest in HHH and certain ancillary transactions.
NOW THEREFORE in consideration of the mutual covenants, terms and agreements herein contained, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: (...) Заранее благодарю.
