LegaleSerega, have you seen many resolutions that would state merely a "change in the composition" of TWO boards and drop the whole thang with a thud ?

A resolution (the way you put it), or minutes for that matter, would be a shade more specific and actually name the new members (and, possibly, the outgoing too). And definitely not within one "punkt," at that :-)

с остальным был бы согласен, если бы знал, что фраза из непосредственно решения или протокола (скорее всего ОСА/ОСУ), а не, например, письма или легального меморандума/брифа. Так что пусть будет на совести аскера, зажавшего кОнтекст)))
