Исходник: Компания не несет ответственности за невыполнение руководящими органами Фонда рекомендаций КОмпании и за последствия такого невыполнения в случае, если Компания предоставит доказательства, что форма, содержание и своевременность предоставления соответствующих рекомендаций давали возможность предотвратить негативные последствия, если бы они были выполнены руководящими органами Фонда.
Запуталась в грамматике, вот мой вариант перевода:
2.6. The Company shall be liable neither for failure of the Fund’s governing bodies to follow the Company’s instructions, nor for the results of such failure, if the Company provides evidence that the form, contents and promptitude of delivery of the relevant instructions made it possible to prevent the adverse effect provided they had been followed by the Fund’s governing bodies.

Вариант редактора:
5.6. The Company shall be liable neither for the non-performance by the Fund’s governing bodies of the Company’s instructions, nor for the results of such non-performance, if the Company proves that the form, content and timeliness of delivery of relevant instructions allowed to avoid an adverse effect, provided they would be complied with by the Fund’s governing bodies.

Интересует согласование времен в конце предложения, если бы выполнили...

В варианте все правильно.
The Company shall be liable neither for the non-performance by the Fund’s governing bodies of the Company’s instructions, nor for the outcome of such non-performance, if the Company proves that the form, content and timeliness of delivery of relevant instructions allowed to avoid an adverse effect, provided they were complied with by the Fund’s governing bodies.

Я бы сказала, что neither -nor здесь значительно сужает толкование.
Согласнование времен - как у Вас. Т.к. значение здесь "если бы директивы были даны, то негативных последствий не было бы, (принимается, что они имеют место)".
Плюс артикли - Ваши. Или хотя бы множ. число.

Как можно принимать, что это имеет место, если это всего лишь текст и условия договора(соглашения)? И факта еще не было.

Вообще нейтивы пишут и так, и этак. И сужения толкования вроде бы не усматриваются.

Мой или ваш взгляд здесь не имеют значения, важнее общепринятые формулировки. А времена в данном случае просто обманчивы.

Смотрите, как пишут наши лондонские лоера:
If the Guarantor is required by law to make any such deduction or withholding, then the Guarantor shall ensure that such deduction or withholding will not exceed the minimum legal liability therefor and shall simultaneously pay to the Facility Agent such additional amounts as will result in the receipt by the Facility Agent of a net amount equal to the full amount which would otherwise have been receivable or dischargeable hereunder had no such deduction or withholding been required.

Соответственно, would have allowed to prevent... had ...
+ consequences, а не results и не outcome, имхо

adverse effect - негативное воздействие, а не последствия

There are two problems (imho) with the editor's version;
(1) You really can't "perform an instruction." You can either "perform ACCORDING TO / IN ACCORDANCE WITH an instruction" or "follow an instruction." ("Comply with an instruction" is fine, too.) So, the editor's suggestion "non-performance ... of the instructions" is poor word choice.
(2) In the last sentence, it is not clear what "complied with" is referring to. I am guessing it's "instructions," but I had to read the sentence several times to understand it.

Here is another quick-n'-dirty stab at the same passage, which, admittedly, can be further "brushed up":

Company shall not be (held) liable for the failure of the Fund's governing bodies to follow Company's instructions, nor for any consequences of such failure, if Company can show/prove that Company's instructions were delivered in a timely fashion and that these instructions, if followed by the Fund’s governing bodies, were adequate to prevent the said negative consequences.

* In the interest of brevity, I omitted the definite article before "Company" (as it is often done in legal papers), but there is nothing wrong in leaving it in, as in the original and the editor's versions.

Большое спасибо всем!!! Я как переводчик юридических текстов только начинаю, поэтому любая разъясняющая информация мне полезна и интересна. А в данном случае, я чувствовала, что что-то не то в редакторской версии, но сами понимаете, ведь я не могу (а смысл?) доказывать свою точку зрения, ведь я только делаю первые шаги.
