We unconditionally waive all of our rights of subrogation and agree not to claim any set off against XXXX or you or claim or PROVE IN COMPETITION with you in the event of the bankruptcy, insolvency, liquieation, widing up, reorganization or administrative proceeding on XXXX until all amount stated herewith have been paid in full.
