Мой вариант перевода:
Term of powers of the Board of Directors and Director General will be defined in Charter of the legal entity, but in any case will be not less than three years. Representative of ХХХ will be assigned as Director General; representative of ХХ will be assigned as responsible person for accounting.

The term during which the BOD will exercise its authority shall be stipulated in the Company’s Charter but shall never exceed 3 years. The ХХХ Chairman will be appointed Director General while a representative of ХХ will be put in charge of accounting.

Я бы заменила Charter на Articles of Association или в крайнем случае на Statutory Documents

Здесь все зависит от того, как документ назвали в самом начале. Charter - универсальный термин.
Я бы назвал Articles of Association (UK) или By-laws (US)

Дело в том, что этот протокол с французами. А какой для них вариант английского лучше, я не знаю. Поэтому употребила Charter.
