XXX will adapt its Inverter and will develop a Converter for use with the YYY fuel cell power module meeting the initial specification provided by YYY. The fee for NON RECURRING ENGINEERING will be USS20.000 to be paid in advance. The Inverter will be subject lo factory acceptance testing at XXX facilities in Canada (or if requested by YYY at independent test facilities in Alberta Canada at the cost of YYY.) in accordance with a test plan agreed upon by XXX and YYY.
