Ну почему bound-то?! ОТКУДА?! Помимо прочего, в лоб, без экивоков: shall have the right, but not the obligation; shall be entitled, but not obligated to... |

Если вас не затруднит, посмотрите пожалуйста, так можно сказать? The Parties are entitled but not obligated to claim penalty; the liability for penalty charge will arise with the default Party only after the relevant claim has been issued by the affected party |

Как вариант: The Parties shall have the right, but not the obligation to claim penalties; obligation of the defaulted Party to pay penalties shall arise upon issuance of relevant request/demand by the affected Party. |
