CLIENT hereby grants X Company a right of first refusal, as defined hereinafter, to provide any debt financing for the sale or use of the Refinery where CLIENT shall have entered into an agreement for sale or use of the Refinery with a Registered Source during the term of this Engagement Agreement or within twelve (12) months after termination of this Engagement Agreement.
