Не пойму, что здесь означает set-off и apply obligation. то из соглашения об обратном выкупе ценных бумаг.

Контекст:

Without prejudice to the provisions of paragraph 10 of the Agreement, each party hereby acknowledges that:

(a) Upon the occurrence of an Event of Default the non-Defaulting Party will have the right (but not obliged) without prior notice to the Defaulting Party or any other person to set-off or apply any obligation of the Defaulting Party owed to the non-Defaulting Party (whether or not matured or contingent and regardless of the currency, place of payment or booking office of the obligation) arising under any other agreement against any obligation of the non-Defaulting Party to pay any amount to the Defaulting Party pursuant to paragraph 10(c) of the Agreement.

set-off or apply any obligation against any obligation of the non-Defaulting Party to pay any amount - по-моему, в данном случае это синонимы.

Произвести зачет любого обяз-ва Нарушившей стороны перед... в счет любого обяз-ва Ненарушившей стороны по выплате любой суммы Нарушившей стороны...

apply - отнести на счет (чего-либо) - тут трудно выкрутиться.

"произвести зачет обязательств или отнести к долгу обязательства Нарушившей стороны"
