В странах континентального права (к которым относятся и Украина, и РФ) структура органов управления хозяйственного общества традиционно двухуровневая, т. .е там имеется наблюдательный совет (который в РФ обычно называется советом директоров, что только добавляет путаницы) и исполнительный орган (может быть единоличным и коллегиальным), в странах общего права (Англии, большинстве шатов США и проч.) хозяйственные общества имеют одноуровневую (унитарную) структуру органов управления, то есть только совет директоров, в составе которого выделяются т. н. executive directors (тж. managing directors или inside directors) и non-executive directors (тж. supervisory directors или outside directors): An executive director is responsible for the day-to-day management of the organization. A non-executive director is a member of a company's board of directors who is not part of the executive team and typically does not engage in the day-to-day management of the organization, but is involved in policy making and planning exercises.
