Выражение встречается в следующем контексте (Shareholder Agreement) :The Other Shareholder wishing to accept the Offer must do so with respect to all shares included in the Offer and on the terms and conditions indicated therein and submit such acceptance in writing to the Selling Shareholder within the Offer Period, provided that (and subject to Section 4.2 third paragraph) any non-cash consideration stated in the Offer shall be deemed to have been substituted by the cash equivalent stated therefore in the Offer. Any non-cash consideration, for which no cash equivalent is stated in the Offer, shall be disregarded as between the Parties

...при том условии (а также при соблюдении положений третьего абзаца п. 4.2), что любая оплата в неденежной форме, указанная в Предложении, считается/признается замененной наденежный эквивалент, указанный для нее [therefore - опечатка в результате автокорректа, должно быть thereFOR] в Предложении. Любая оплата в неденежной форме, денежный эквивалент которой не приведен в Предложении, в отношениях между Сторонами во внимание не принимается.

"Оплату" можно заменить на "встречное предоставление" mutatis mutandis по тексту.
