Пожалуйста, помогите перевести cause for non-performance reasons

Выражение встречается в следующем контексте:The Company shall have the right to terminate Specialist’s employment for Cause, and such termination in and of itself shall not be, nor shall it be deemed to be, a breach of this Agreement. For purposes of this Agreement, the Company shall have “Cause” to terminate Specialist’s employment upon Specialist’s (i) failure to perform his duties under this Agreement (other than any such failure resulting from his incapacity due to physical or mental illness) after a written demand for substantial performance is delivered to Specialist by the Board which identifies in reasonable detail the manner in which the Company believes that Specialist has not performed his duties (“Cause for Non-Performance Reasons”),

Тяжело, конечно, зато внушительно. Здесь задача указать на причинно-следственную связь и при этом не потерять стиль. ИМХО, основание не может быть "вызванным" (стилистически), а то бы я принял вариант alk'а.

Вопрос был, главным образом, про severance - в Вашем документе это может иметь специфический смысл, отличный от словарного.

Словам и словосочетаниям, написанным в тексте с заглавных букв, даны определения в главе Definitions. Вот без знания этих определений нельзя адекватно перевести юридический документ.Вопрос был об определении Severance в Вашем документе.

вы правы, но к сожалению в настоящем договоре такой главы не существует и единственная ссылка на определение Severance Payment Date дается в абзаце представленном выше поэтому приходится самой догадываться. К сожалению клиент сам не особо разбирается в юридическом праве ....благодарю Люба
