If, upon disclosure of the name of the Seller and the identity of the BUSINESS by AGENT, COMPANY can prove by reasonable evidence that COMPANY or its affiliates are already presently engaged in discussion with the Seller for the purposes of acquisition of the BUSINESS, then COMPANY must inform AGENT by writing of this existing prior knowledge within one week. On the request of AGENT, COMPANY is obliged to prove this within seven days. If this does not happen, then the causality of the broker’s activity is irrefutably assumed if COMPANY later signs the desired agreement. In this case, COMPANY is obliged to pay AGENT the agreed fee.

ИМХО, здесь смысл в том, что если компания не сообщает о контактах с продавцом, имевших место до заключения договора с агентом/посредником, то будет считаться, что все "достижения" по данной сделке - заслуга агента, и должны быть оплачены.
