In place of the ineffective or omitted provision, a different appropriate provision shall be agreed in good faith between the Parties that fulfils as closely as legally possible the intentions of the Parties to the Agreement, or what they would have intended according to the meaning and purpose of the Agreement, insofar as they would have thought of the ineffectiveness of the provision or of the omission at the negotiation of this Agreement.

Вместо недействительного положения или для восполнения упущения, Стороны добросовестно согласуют новое положение, максимально, насколько это возможно по закону, соответствующее целям Сторон по настоящему Договору или их намерениям в соответствии со значением и целью Договора...?
