Subject: resolutions Mr. Dinn is hereby authorized, empowered and directed for and in the name of and on behalf of the company, to do all such other acts and things and to execute and deliver all such other agreements and other documents as in the discretion of the person so authorized may be necessary or desirable in order to give effect to these resolutions and the transaction contemplated herein.
