(c) the negotiation and execution of one or more novation agreements related to the various agreements entered into as part of the original privatisation of TP – i.e. (i) the deed of guarantee and indemnity in favour of Ministry of Economy (the “Ministry”) and the National Property Fund (the “NPF”); (ii) the shareholders’ agreement with the Ministry regarding the management of TP; (iii) the original share purchase agreement with the Ministry and the NPF; (iv) the “Decisive Interest Escrow Agreement,” which is with the NPF, the Ministry, TP and Credit Bank; and (v) the “Framework Products and Services Agreement,” which is with TP.
