ldi, для сведения "договорное" shall - это не "будуще время".
Это "договорное долженствование".

Я встречала про обсточтельства скорее continue.
Should the specified curcumstances continue for over 2 months, each party is entirtled to terminate the Agreement in full, or a part thereof. In such case the parties settle their obligations thereunder.
