Перевести могу, а вот смысл ускользает....
The Senior Agent may assume (unless it has received notice to the contrary in its capacity as Senior Agent for the Senior Lenders) that:
(ii) any right, power, authority or discretion vested in any Party or the Senior Lenders has not been exercised.

Как это? Не может же быть, что кредиторы не осуществляют своих прав???
Или я что-то не так поняла?

и еще - как разграничить понятия в сабже? права, полномочия....?
