A duly authorized Seller’s representative значит "представитель должным образом уполномоченного Продавца", поэтому - Ваш второй вариант. Опять же, поскольку это контракт, не is obliged to arrive (режет глаз и не только), а shall arrive перед excluding, по-моему, нужна запятая + the time |
