YYY agrees to indemnify XXX and its and their directors and officers in respect of all damages and costs (including reasonable legal fees and expenses) in connection with any claim by a third party that the receipt or use of the [Goods] in accordance with this Agreement and as delivered by YYY infringes the Intellectual Property Rights of that third party, provided that:

XXX notifies YYY in writing as soon as reasonably possible after it becomes aware of any such third party claim;

иск - не подходит

требование - тоже вряд ли. Не "заявление" ли по смыслу (о том, что получение или использование Товара в соответствии с настоящим Договором, нарушает...)?

Или всё же требование (претензия) третьего лица, возникшее в связи с тем, что...?

Заявление (о том, что) вполне подходит (и даже в том случае, если это станет предметом иска).
