| 'Should' is fine. Alternatively, if you want to, you can say 'In the event of (either/any) party refraining from (or whatever)'. |

| You can say 'either Party' (if there are only two parties), 'one of the Parties', or 'any of the Parties' (if there are three or more parties). |

алекс, вам здесь нужен любой из двух вариантов: либо should... либо in the event that (either/any party should attempt to avoid...) за "refrein", а равно за "avoid entering" или "may go to court" - бан простите уж обратиться в суд с требованием - поищите поиском, объяснялось неоднократно issue proceedings / bring a claim / file a lawsuit (seeking to...) |

и, конечно, "enforce such Party entry\enterring into the Agreement" - неверно you do not "enforce" a party entry not even entering |
