Вариант, предложенный МТ: свидетельство записи о залоге.

Как свидетельство записи о залоге может быть внесено (entered ) в реестр участников?

Может быть, просто свидетельство о залоге?

А что Вас смущает? Такое выражение, как "Внесение в реестр записей о передаче ценных бумаг в залог" прекрасно гуглится!

Свидетельство о внесении записи о залоге было бы CERTIFICATE OF MEMORANDUM OF PLEDGE, а у вас запись о залоге.

Это что - обычное английское словоблудие? Зачем вообще эти existing memoranda, когда речь идет, действительно, о внесении изменений в существующую запись о залоге и о внесении новой записи о залоге ("entering a new memorandum of pledge ") в реестр?

@Зачем вообще эти existing memoranda@ - ну речь же о существующих записях against the names of the Shareholders: кто-то из Shareholders продал всё, записи делитятся, кто-то продал часть - такие записи амендятся. а новая запись вносится against the name of the Purchaser
