ИМХО, если данное Соглашение, заключаемое между Сторонами, носит сугубо частный характер, отстаивая их права на владение и распоряжение семейным бизнесом (privately-held family business), тогда, спору нет, под их "respective heirs" надо понимать прямых, т.е. соответствующих, наследников. There should be a comma after 'heirs' to separate it from 'to this Agreement'. The sense is therefore:

.... except via:
* the written consent of the Parties,
and/or
* the written consent of their [=the Parties'] respective heirs,

to this Agreement and any underlying Agreements.

It's not a reference to 'heirs to this Agreement', as agreements can't have heirs.
