IMHO, “in consideration for personally guaranteeing of the debt incurred by the Company 2” might be translated as "в качестве (в счет) личной гарантии (погашения) долга, образованного Компанией 2".
Здесь речь идет о безналичных взаиморасчетах в случае возникновения долговых обязательств у одной компании (Компания 2 - заказчик товаров / услуг) перед другой (Компания1 - поставщик товаров / услуг), т.к. сказать, фискальная мера воздействия по отношению к недобросовестному партнеру по бизнесу.
Herein 100 common shares serve as a security pledge of the bargain / contract partnership, in which the Company 1 plays, surely, a domineering (key-)role.
