Die mit dieser Vereinbarung vereinbarte Eintrittsverpflichtung von OBI endet jedenfalls jeweils nach Ablauf von 15 Bestandsjahren; sie endet ferner, wenn (i) der betreffende Mietvertrag von der Mieterin vor Ablauf von 15 Jahren auЯerordentlich aufgelöst wird oder (ii) nach einer Übertragung gemдЯ § 11 des jeweiligen Mietvertrages an eine dritte Gesellschaft, die nicht dem OBI-Konzern angehört (sei es im Wege eines Asset Deals oder eines Share Deals), soferne ergдnzend zum jeweiligen Mietvertrag zugunsten der Vermieterin bestellte Sicherheiten vom Rechtsnachfolger der Mieterin durch wirtschaftlich gleichwertige Sicherheiten ersetzt werden. Klarstellend wird festgehalten, dass diese Vereinbarung (wдhrend der ersten 15 Bestandjahre) nicht endet, sofern eine Übertragung eines Mietvertrages an eine Gesellschaft des OBI-Konzerns erfolgt.
вариант перевода на английский - The assuming of OBI obligation agreed by the present Agreement shall be terminated in any case after expiration of 15 years; thereafter it will be terminated, if (i) the respective Rental Contract is extraordinarily terminated by the Lessee prior to expiration of 15 years, or (ii) after the transfer of rights under the respective Rental Contract acc. to § 11 thereof to the third company, which does not belong to OBI-Group (whether that be Asset Deals or Share Deals), if the guarantees provided in favor of Lessor from a legal successor of the Lessee complementarily to the Rental Contract are substituted by the economically equivalent guarantess. To avoid misunderstanding it should be emphasized, that the present Agreement (during the first 15 years of its existence) will not be terminated unless the rights under the Rental Contract are transfered to any company of OBI- Group.
