If DISTRIBUTOR can demonstrate to the sole satisfaction of COMPANY that business resulting from the direct and proximate efforts of DISTRIBUTOR at a specific customer reclassified from a DISTRIBUTOR account to a HOUSE ACCOUNT (ключевой клиент) that occurs within 6 months of such reclassification, then COMPANY, at its sole discretion, may choose to provide residual compensation to DISTRIBUTOR not to exceed five (5) percent of the net sales revenue less freight, warehousing, and applicable discounts resulting from such business for a period not to exceed twelve (12) months from the date of such reclassification.

Начнем с конца:

failure to enforce - это не просто "неисполнение".

enforcement - приведение в исполнение или принудительное исполнение.

said party’s right to enforce strictly - это не "строго соблюдать"!

Примерный смысл: Если какая-либо из сторон не привела в исполнение [в принудительном порядке] какие-либо условия или положения on any occasion, это не ограничит право такой стороны привести в исполнение ИМЕННО ЭТИ (strictly) условия или положения в любых других случаях.

Neither party’s failure to enforce...shall affect, limit or waive - надо в русском согласовать падежи (некоторые этого не делают)

or waive - [и не может служить основанием для отказа от права такой стороны привести в исполнение...]

А вообще, у вас не пара предложений, а больше.

т.е., если сторона не подала в отдельном случае в суд иск с требованием о приведении в исполнение какого-либо условия, это не ограничит и не повлияет на ее право подать такой иск в других случаях.
