Subject: as a primary obligation on an indemnity basis law Subject always to Clause XXX, the Obligor:2.1.1 hereby irrevocably and unconditionally guarantees to the Beneficiary (as a primary obligation on an indemnity basis, subject to the terms of this Deed) the due, full and timely payment to the Beneficiary by each Purchaser of all Deferred Consideration; and, without double counting 2.1.2 as an indemnity and as a separate and independent obligation and liability from its obligations and liabilities under Clause 2.1.1, shall pay to the Beneficiary upon demand the Deferred Consideration then due as if it were the principal obligor in respect thereof.
