and the Purchaser or any member of the Group recovers (whether by insurance,
payment, discount, relief or otherwise) from a third party a sum which is
referable to the matter giving rise to the Claim the Purchaser shall pay to the
Seller as soon as practicable after such recovery an amount equal to the amount
recovered (after deducting any reasonable costs incurred by the Purchaser in
making such recovery and any Tax incurred by the Purchaser as a result of the
receipt of such recovery) from the third party (or, in the case of any recovery
by a member of the Group, forty per cent. (40%) of the amount recovered)
provided that if such amount so payable exceeds the amount paid by the Seller
to the Purchaser in respect of the relevant Claim, the Purchaser shall pay to the
