Означает ли это, что each Transferor получил(о) соответствующие разрешения на заключение сделок, предусмотренных...?

Далее: пассаж "no other proceedings (corporate or otherwise) on its part (or on the part of its shareholders or any other Person) are necessary..."

Обычно, насколько я помню, в подобных случаях пишут "corporate action(s)" - т.е., не требуется осуществлять каких-либо действий (корпоративных или иных)... Не хочется писать "процедур"...

in respect of it - сразу видно, что англичане составляли (непонятно, к чему относится; самому автору понятно, а остальное его не волнует; наверно, к Transferor)...

посмотрите выдержку из другого соглашения, где аналогичный пункт изложен более логично

"Each Shareholder represents and warrants ....
The execution and delivery of this Agreement (and the other agreements and documents to be executed in connection therewith and to which it is a party) by it and the consummation by it of the transactions contemplated by this Agreement (and by such other agreements and documents) have been duly authorized by all necessary corporate action (or other action if applicable) on its part and no other corporate proceedings (or other proceedings if applicable) on its part are necessary to authorize this Agreement (and the other agreements and documents to be executed in connection therewith) or to consummate the transactions contemplated by this Agreement (and by such other agreements and documents).

здесь it - Shareholder, соотв. у Вас д.б. Transferor

Первое by it лишнее. Все остальные it/its - явно про Transferor, значит, и в in respect of it тоже он подразумевается.
Действия, процедуры - всё едино.
